Disclaimer, Terms & Research Disclosures
Sharpsider is an experimental market research project. Please review these disclosures carefully before browsing data, charts, or metrics.
Nothing on sharpsider.com is investment advice. Sharpsider is an independent empirical research experiment developed for educational and quantitative analysis. We are not a registered investment advisor, broker-dealer, or financial analyst. All information is provided on an "as is" and "as available" basis without warranties of any kind.
1 No Investment, Financial, Legal, or Tax Advice
The content, tools, charts, metrics, transaction filters, and analytical algorithms provided on sharpsider.com are published strictly for educational, informational, and empirical research purposes.
Nothing published or made available through Sharpsider should be construed as:
- Investment advice or personalized financial counseling;
- An endorsement, recommendation, or sponsorship of any specific company, security, fund, or trading strategy;
- An offer or solicitation to buy, sell, or hold any security, derivative, commodity, or financial instrument;
- Legal, accounting, or tax guidance.
Sharpsider is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities agency as an investment adviser or broker-dealer. You should always consult with a qualified, licensed financial advisor, CPA, or attorney before making any financial or investment commitments.
2 Experimental Project & Research Beta Status
Sharpsider is currently an experimental research platform in active beta development. All components—including backend data extraction pipelines, BigQuery Table-Valued Functions (TVFs), seasonal time series decompositions (STL Loess smoothing), cluster identification logic, and frontend visualizers—are prototypes undergoing continuous testing and iteration.
Consequently, data outputs, formulas, and visual interfaces may contain inaccuracies, omissions, temporary outages, or unexpected results. The developers reserve the right to alter, pause, or decommission any feature or dataset at any time without prior notice.
3 Data Sourcing & "As-Is" SEC EDGAR Grounding
All insider transaction data hosted on Sharpsider is compiled from publicly available electronic filings (Forms 3, 4, 5, and 144) submitted by corporate insiders and institutional holders to the U.S. SEC EDGAR system.
"As-Is" Warranty: All information is provided on an "as-is" and "as-available" basis. Neither Sharpsider nor its creators warrant or represent that the data is accurate, complete, uninterrupted, current, or error-free.
Key factors that may affect data fidelity include:
- Reporting Delays & Amendments: Insiders sometimes submit late filings or amended forms (e.g. Form 4/A) weeks or months after original trades occur.
- Filing Errors: Human or software errors made by reporting insiders when inputting transaction codes, share amounts, or prices into EDGAR XML feeds.
- Automated Ingestion Latency: Scheduled ETL batch jobs running between SEC EDGAR and our BigQuery warehouse may experience sync intervals.
Users are strongly advised to independently verify all transaction details and company identity with primary sources via SEC.gov EDGAR Search.
4 Insider Trading Caveats & Rule 10b5-1 Plans
Insider buying and selling can be motivated by a wide variety of non-informational factors, including:
- Rule 10b5-1 Scheduled Trading Plans: Predetermined automated trading plans established well in advance for diversification, tax planning, or liquidity;
- Stock Option Exercises: Transactions executed pursuant to compensatory option grants or restricted stock units (RSUs);
- Estate Planning & Charitable Gifts: Transfers, trusts, and tax-loss harvesting unrelated to company fundamentals.
While Sharpsider offers automated filters to isolate open-market transactions (Codes P and S) and exclude disclosed 10b5-1 plans, heuristic parsing cannot guarantee full identification of all plan-based trades due to unstructured footnote disclosures in SEC filings.
5 Risk Disclosure & Assumption of Risk
Trading and investing in equity securities, derivatives, options, and fixed income involves substantial risk of financial loss. You may lose all or more than your initial investment capital.
Past performance and historical insider clustering are not indicative of future market returns. A purchase or sale by a company executive or director does not guarantee that the stock price will appreciate or depreciate. You assume full and exclusive responsibility for any trading, investment, or capital allocation decisions made.
6 Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, Sharpsider, its developers, operators, contributors, and hosting providers shall not be held liable for any direct, indirect, special, incidental, punitive, or consequential damages (including, without limitation, lost profits, lost trades, investment losses, or loss of data) arising out of the use, inability to use, or reliance on this website, even if advised of the possibility of such damages.
By accessing and utilizing sharpsider.com, you explicitly acknowledge and agree to these terms, disclosures, and risk allocations.
